Confidentiality and Non-Disclosure Agreement (NDA)

This Confidentiality and Non-Disclosure Agreement (“Agreement”) is entered into as of this day, between Tech Time Cincinnati Foundation (“the Foundation”) and applicant (“the Intern”).


1. Purpose The Intern understands and agrees that in the course of their internship, they will have access to and be entrusted with certain confidential information. The purpose of this Agreement is to protect this information from unauthorized disclosure or use.


2. Definition of Confidential Information “Confidential Information” shall include all information, whether written, oral, or electronic, that is not generally known to the public. This includes, but is not limited to:

  • Data and personal information relating to the Foundation’s participants (including youth and seniors).

  • Trade secrets, business plans, marketing strategies, and financial information.

  • Proprietary project details, software, processes, and methodologies.

  • Internal communications, employee information, and donor lists.

  • Any and all other information designated as confidential by the Foundation.


3. Intern’s Obligations The Intern agrees to:

  • Hold all confidential Information in strict confidence and take all reasonable precautions to protect its confidentiality.

  • Not disclose any confidential Information to any third party without the prior written consent of the Foundation.

  • Not use any confidential information for any purpose other than the performance of their internship duties for the Foundation.


4. Duration of Obligation The Intern's obligation to maintain confidentiality shall survive the termination or conclusion of the internship period. This obligation to protect confidential information continues indefinitely after the internship ends.


5. Return of Materials Upon the termination or conclusion of the internship, the Intern agrees to immediately return to the Foundation all documents, records, and materials containing confidential information, and to permanently delete any electronic copies.

6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.


7. Acknowledgement The Intern acknowledges that they have read and fully understood the terms of this Agreement and agree to be bound by them.


IN WITNESS WHEREOF, the parties have executed this Agreement.

Photo & Media Release Form

1. Grant of Permission I, hereby grant to Tech Time Cincinnati Foundation (“the Foundation”), its legal representatives, and assigns, the irrevocable and unrestricted right to use and publish my name, image, likeness, voice, and any work product I create during my internship.


2. Work Product Includes, but is not limited to, social media posts, graphics, videos, written content, marketing materials, and any other intellectual property created.


3. Purpose of Use This permission is granted for use in any and all of the Foundation’s publications and media, including but not limited to:

  • The Foundation’s official website and blog.

  • Social media channels (e.g., Facebook, Instagram, LinkedIn, TikTok).

  • Newsletters, brochures, and fundraising materials.

  • Press releases and media outreach.

  • Educational and promotional videos.


4. Terms of Use I understand and agree that:

  • This release is perpetual and applies to all media, now known or hereafter devised, in all territories worldwide.

  • I will receive no additional compensation for the use of my image or work product, as its creation is a fundamental part of my internship responsibilities.

  • I waive any right to inspect or approve the finished product, including written copy or edited video.

5. Release from Liability hereby release and discharge the Tech Time Cincinnati Foundation and its representatives from any and all claims and demands arising out of or in connection with the use of my image or work product, including but not limited to any claims for libel or invasion of privacy.

Government Tax Forms:

Please complete two mandatory government forms. These are required for all paid interns to ensure we are compliant with federal law. Please read the instructions for each form carefully. I've included links and some guidance to help make the process as smooth as possible.

1. Form I-9: Employment Eligibility Verification

This form is from U.S. Citizenship and Immigration Services (USCIS) and verifies your identity and legal authorization to work in the United States.

Instructions:

  1. Complete Section 1: Please download the form and fill out Section 1: Employee Information and Attestation yourself.

  2. Section 2: We need to verify your documents. 

    • You must present your original, unexpired identification documents. (A list of acceptable documents is on the last page of the Form I-9).

    • Return the Form: Once both sections are complete, please scan or take a clear photo of the entire form and email it back to the foundation.

2. Form W-4: Employee's Withholding Certificate

This form is from the IRS and tells us how much federal income tax to withhold from your commission payments. Filling this out accurately is important for your personal tax situation.

Instructions:

  1. Download and Complete: Please download and fill out the form. For most single students with one job, the process is straightforward:

    • Step 1: Enter your personal information (name, address, Social Security number, and filing status). This step is mandatory.

    • Steps 2, 3, and 4: These sections are for more complex situations (e.g., multiple jobs, dependents, other income). If these do not apply to you, you can leave them blank.

    • Step 5: Sign and date the form. This is mandatory.

  2. Return the Form: Please scan or take a clear photo of your completed and signed form and email it back to me.
